End User License Agreement for WIDEDIST & PNK NOISE software.

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you (either an individual or a single entity) and Aladdin Björstadius (doing business as pnk noise, Organization Number: 050208-5657, Hauptvägen 73, 123 58 Stockholm, Sweden) ("Licensor" or "pnk noise") for the software product WIDEDIST, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. License Grant

pnk noise grants you a non-exclusive, non-transferable, perpetual license to use the Software on up to three (3) personal computers owned and operated by you, provided that the computers are used by you as the primary user.

2. Royalty-Free Audio Output

All audio material (such as music productions, recordings, sound design, audio loops, etc.) created by you using the Software is 100% royalty-free. You are free to release, sell, license, broadcast, and distribute your audio works created with the Software commercially or non-commercially without owing any royalties or additional licensing fees to pnk noise.

3. Restrictions

  • You may not modify, adapt, translate, reverse engineer, decompile, or disassemble the Software.
  • You may not rent, lease, sublicense, distribute, resell, or transfer the Software or any license keys to any third party.
  • You may not host, upload, or publish the Software on any public sharing networks, repositories, or websites.

4. Intellectual Property & Ownership

The Software is protected by copyright laws and international copyright treaties. Aladdin Björstadius retains all title, ownership rights, intellectual property rights, and copyright in and to the Software (including but not limited to any images, graphics, audio tracks, and code incorporated into the Software).

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from pnk noise if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

6. Digital Goods & Refund Policy

We offer a 14-day money-back guarantee under the Swedish Distance Contracts Act (Lag (2005:59) om distansavtal och avtal utanför affärslokaler). You have the right to request a full refund within 14 days of your purchase date. Once a refund is requested and processed, your license key will be deactivated, and you must uninstall and cease all use of the Software. 7. Disclaimer of Warranty & Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PNK NOISE AND ALADDIN BJÖRSTADIUS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENT, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, DAW CRASHES, PROJECT CORRUPTION, DATA LOSS, OR SYSTEM INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, THE LICENSOR’S MAXIMUM ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.

8. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with this contract shall be settled by Swedish courts, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.
